Head of Internal Audit

| i. Establishment and management of an efficient internal audit function across Engro Energy Group. | i. Develop audit function, review manning levels, assess audit job classifications and review with CIA, BAC/BoD and CEOs. ii. Attract, hire, and retain a team of high-performing audit professionals who possess outstanding knowledge, experience, ethics, and integrity. iii. Identify structural strengths, weaknesses and skill set deficiencies within the function and initiate corrective measures. iv. Ensure training of staff on a regular basis | 
| ii. Establishment of an effective system of identifying and assessing business risks and help monitor their management | i. Review & update Risk Based Audit Universe for effective risk coverage. ii. Review preparation & development of annual audit plan iii. Review, finalization and issuance of Audit Reports in line with the Audit Plan iv. Reporting to BAC on quarterly basis with respect to key audit findings | 
| iii. Promote a sound control environment by focusing on strengthening internal controls and introduction of programs for promoting control awareness amongst employees. 
 | i. Act as an advisor / business partner to support management in implementing new processes that cater to underlying risks. 
 ii.  Emphasize formalization of work processes by process owners in all functional areas and review of SOPs. ii. Promote awareness amongst the organization by conducting trainings and workshops. | 
| iv. Continuously seek to enhance the level of corporate governance and ethical business conduct by adoption of policies, promoting awareness and ensuring compliance. 
 | i. Develop and launch programs to enhance employee awareness about ethics and other policies. ii. Ensure an effective system of learning through reporting of violations (i.e. learn share incidents) 
 iii. Ensuring adequacy of the whistle blower system.

 v. Ensuring synergy between all subsidiary internal audits through standardization of auditing methodology, frameworks and control processes. 
 | 
 i. Ensure cross company collaboration with other audit teams and implementing best practices. ii. Cross subsidiary audit reviews and staff rotations

| vi. Implementation of Board approved policies on ethics | i. Fully support ECORP in carrying out investigations for whistle blower complaints and report the findings to CIA, CEO and BAC/ Board. 
 ii. Ensure irregularities are being shared on a quarterly basis with Management and BAC. 
 iii. Regularly conducting controls awareness workshops covering all employees | 
| vii. Benchmarking with professional standards and use of tools (e.g. audit software/ data analytics tools) | i. Ensure work is in accordance with established professional standards and remain abreast of emerging trends and best practices that can be incorporated into the function. | 
| viii. Provide Audit Committee secretarial services | i. Ensure BAC meetings are held quarterly in line with code of corporate governance and companies’ law. ii. Point of contact for BAC members for all types of coordination and communication. iii. Summarize and issue minutes of all BAC meetings. iv. Resolve all business-related concerns of the BAC members through coordination and collaboration with other functions. |
